Marta Stein has been a trusted advisor to some of the largest publicly traded and privately held companies and private equity firms in the country. She currently serves as fractional General Counsel to privately held companies, and represents mid-sized and large multinational companies and financial institutions in resolving business disputes and directing winning litigation strategies.

During her 30 years in private practice at an AmLaw 50 firm, Marta developed a unique, national practice that combined high stakes complex commercial litigation with outside general counsel work across multiple industries. As a trial attorney with a business background, Marta always sought ways to avoid litigation, along with the costs, time and reputational risks that accompany it. But, if litigation could not be avoided, Marta has a record of strategically positioning her clients to win.

Professional Experience

Prior to founding STEIN Strategic Solutions, Marta Stein was in private practice for 30 years as a trial attorney specializing in complex commercial litigation and executive counseling matters across the
country, most recently as an equity partner with the internationally recognized law firm of McGuireWoods LLP. Her unique practice combined high-stakes complex commercial litigation cases with outside general counsel services and transactional matters, always focusing on ways to avoid the next piece of litigation.

While at McGuireWoods, Marta served as a member of the firm’s 10- person Finance Committee, Global Chair of the Women’s Leadership Forum, and a member of the Strategic Planning Committee. She also
helped create a Best Practices Litigation Roundtable for General Counsel and Chief Litigation Officers.

Marta has been lead counsel for cases pending in the federal and law/chancery divisions of state courts across the country. Additionally, she has mediated and arbitrated numerous matters under court-ordered and private ADR processes, including those under the large, complex commercial arbitration rules of the American Arbitration Association.

Marta graduated from The University of Michigan with a degree in Economics and received her Juris Doctor degree from The Ohio State University Moritz College of Law. She is a trained mediator, receiving certificates from the Mediation Skills Training Program at Northwestern University and the PLI Program on Negotiations at Harvard Law School. Marta also participated in Northwestern University’s Kellogg School of Management’s Advanced Leadership Executive Program.

Marta has been accepted by the American Arbitration Association to serve on its National Roster of Arbitrators for commercial matters. In addition, she was asked to be part of the Chicago Bar Association’s inaugural panel of mediators in its newly formed Mediation Service Program for commercial matters.

Representative Matters

Prevailed in a bet-the-company case for $8 billion company involving the surreptitious dilution of class shares, power/discretion of boards of directors, sale of subsidiary companies, theft of proprietary information, grass roots vote campaigns, breaches of fiduciary duties, attempts to amend articles and bylaws, and a merger.

Strategized and made pivotal decisions with GC, CEO and Board Chairman on a regular basis, reported to the Board of Directors at annual meetings, and coordinated team of attorneys across practice groups.

Successfully moved to compel arbitration and dismiss action with 85 separate plaintiffs relating to a $50 million international Ponzi scheme involving self-directed IRA accounts, leading to a favorable settlement.

Lead counsel for multiple matters involving threats of dissolution of company, demands for accounting, and dissociation based on fraud, mismanagement, and minority shareholder oppression.

Negotiated, drafted and litigated a variety of contracts including distributorship, employment and supply chain agreements across multiple industries.
